		<description>Interesting story. Fits my current situation almost perfectly. I&#039;m  starting a magazine and I want to partner with a publisher that has been in business locally for quite a while now. 
I&#039;m wondering how in general are ventures structured. What I mean is I&#039;m an LLC and he is an LLC and will do some kind of exchange of his staff work  for equity in my company. He is proposing to do it on the operational agreement basis where my business would contract his business to do the work for mine. With that is it common to ask for things llike:
-all invoices to go through my business
-ask his sales staff to use mine crm

What are other things that people usually outline?</description>
